HUMERGY DELIVERY MEMBERSHIP TERMS

 

Effective date: September 7, 2026

 

These Membership Terms (“Terms”) govern enrollment in and use of Humergy’s fuel-delivery membership service (“Delivery”). By enrolling, you agree to these Terms, the plan and pricing summary shown before checkout, and Humergy’s Privacy Policy. If a checkout summary conflicts with these Terms, enrollment will be stopped until the conflict is corrected.

 

1. HUMERGY AND CONTACT INFORMATION

 

Humergy, Inc. (“Humergy,” “we,” “us,” or “our”) provides the Delivery membership service. Our principal office is 365 Salem Gate Drive, Suite 1800, Conyers, Georgia 30013. Service information is available at www.humergy.com. 2. ELIGIBILITY AND AUTHORITY

 

You must be at least 18 years old and legally able to enter into a contract. You represent that the enrollment information you provide is accurate and that you are authorized to request fuel delivery for each enrolled vehicle and at each designated service location. You must have all permissions required from a vehicle owner, lessor, property owner, employer, homeowners’ association, parking operator, or other responsible party.

 

3. MEMBERSHIP PLANS

 

Essential — $79 per month; one included vehicle; 48 included deliveries per membership year; 48-hour scheduling window.

 

Professional — $179 per month; two included vehicles; unlimited included deliveries; priority 24-hour scheduling window.

 

Executive — $329 per month; up to four included vehicles; unlimited included deliveries; same-day priority scheduling window.

 

Included services and optional add-ons are those expressly displayed for the selected plan before enrollment. An add-on, product, or service is not included unless it appears in the applicable plan summary. Scheduling windows are service targets, not guaranteed arrival times, and remain subject to safe access, weather, fuel availability, routing capacity, emergencies, and applicable law.

 

4. FUEL AND SERVICE PRICING

 

Fuel is billed at the current AAA Atlanta Metro Average for your selected fuel grade, plus a $0.25-per-gallon service premium. Your monthly membership is billed separately.

 

The base fuel price is the current AAA Atlanta Metro Average for the selected fuel grade, as maintained in Humergy’s central pricing configuration. The applicable source date and Humergy update timestamp are displayed with the price. The source is AAA Gas Prices at https://gasprices.aaa.com/?state=GA. Humergy does not substitute the statewide Georgia average for the Atlanta metro average.

 

If a daily pricing update is delayed, Humergy keeps the last successfully verified value, shows its actual source date, and displays “Pricing update temporarily delayed.” A stale price will not be represented as today’s price.

 

Per-gallon service premium: $0.25 per gallon.

Minimum delivery quantity: five gallons.

Additional service charges: None.

 

State and local motor-fuel taxes are included in the base gasoline price. Humergy currently charges $0 in additional taxes on the membership and fuel-delivery service. Taxes may apply to other products or services, and tax treatment is subject to applicable law and may change.

 

Any estimated monthly cost is an illustrative estimate, not a quote or guarantee. Actual fuel prices and gallons delivered vary. Before payment is requested, the customer will see an itemized summary showing the membership charge, base fuel price and source date, gallons, service premium, additional charges, taxes, recurring billing frequency, and estimated or payable total. Checkout will not introduce a charge that was not previously disclosed.

 

5. RECURRING BILLING AND PAYMENT AUTHORIZATION

 

Membership fees recur monthly until canceled. By enrolling, you authorize Humergy and its payment processor to charge your payment method for the recurring membership fee and for fuel and disclosed charges associated with completed deliveries. The billing summary identifies which amounts recur and which vary with fuel price and quantity.

 

Humergy records the pricing version accepted at enrollment. If required pricing information is missing, invalid, stale, or inconsistent, checkout is disabled and displays: “Online enrollment is temporarily unavailable while pricing is being updated. Please contact Humergy for assistance.” Service may be paused when a valid payment cannot be completed, subject to applicable law and any required notice.

 

6. CANCELLATION, REFUNDS, AND PRORATION

 

You may cancel at any time, and Humergy charges no cancellation fee. Cancellation becomes effective at the end of the current paid billing period. You may continue using included membership benefits through that date unless service is suspended or terminated under these Terms.

 

Membership fees are not prorated or refunded, except when required by applicable law. Valid fuel charges and other amounts incurred before the effective cancellation date remain payable. Cancellation may be requested through your account, by emailing here@humergy.com, through Humergy’s Contact page, or by calling 1-833-HUMERGY. Humergy will provide confirmation identifying the effective date and any valid amount already due.

 

7. DELIVERY, VEHICLE ACCESS, AND CONFIRMATION

 

You must provide the correct vehicle, location, access instructions, and fuel grade. The enrolled vehicle must be parked at an authorized, lawful, and reasonably accessible location at the scheduled time. The vehicle may remain locked; Humergy accesses only the fuel door as needed to perform the service. You must ensure that the fuel door can be lawfully and safely accessed.

 

Humergy may delay, reschedule, or decline a delivery when access is unavailable or when delivery would be unsafe, unlawful, or impracticable because of weather, fuel supply, routing, emergency conditions, vehicle condition, or site restrictions. No additional service charge currently applies. Any future charge must be specifically disclosed, including its name, exact amount or calculation method, triggering condition, and collection time, and must be accepted before collection.

 

The quantity charged is the actual metered quantity delivered, subject to applicable measurement requirements. Humergy provides an available delivery confirmation, such as a receipt, notification, or service photo.

 

8. CUSTOMER RESPONSIBILITIES

 

You are responsible for maintaining accurate contact, vehicle, payment, location, access, and fuel-grade information. Promptly report a suspected fuel leak, damaged fuel system, unsafe condition, incorrect delivery, or unauthorized account activity. Do not request service for a vehicle or location that is unsafe, prohibited, or not authorized for delivery.

 

9. COMMUNICATIONS AND PRIVACY

 

You consent to receive transactional communications reasonably necessary to administer enrollment, scheduling, delivery, billing, safety, cancellation, and account security. Marketing messages require any consent required by law and include an available opt-out method. Humergy’s collection and use of personal information are governed by the Privacy Policy at www.humergy.com/privacy-policy.

 

10. CHANGES TO PRICING OR TERMS

 

Humergy may update these Terms or pricing prospectively, subject to applicable law and any required notice. A change will identify its effective date. Humergy will not silently add or collect an undisclosed charge. Continued use after the effective date constitutes acceptance only to the extent permitted by law. Material changes requiring affirmative consent will not apply until that consent is obtained.

 

11. SUSPENSION OR TERMINATION

 

Humergy may suspend or terminate service for nonpayment, suspected fraud, abuse, unlawful use, a material breach of these Terms, or a condition creating a safety or legal risk. Suspension or termination does not eliminate responsibility for valid charges already incurred. Humergy provides any notice or opportunity to cure required by applicable law.

 

12. WARRANTIES AND LIMITATION OF LIABILITY

 

Humergy will perform the Delivery service with reasonable care and in accordance with applicable law. Scheduling estimates are not guarantees. To the fullest extent permitted by law, Humergy is not responsible for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss caused by inaccurate customer information, inaccessible or unsafe property, a pre-existing vehicle condition, severe weather, supply interruption, third-party conduct, or an event beyond Humergy’s reasonable control.

 

To the fullest extent permitted by law, Humergy’s aggregate liability arising from a claim related to the membership or a delivery will not exceed the greater of the amount the customer paid to Humergy during the six months preceding the event giving rise to the claim or the amount recoverable under Humergy’s applicable insurance. This limitation does not apply to liability that cannot lawfully be limited, including rights and remedies preserved by applicable consumer law.

 

13. GOVERNING LAW AND DISPUTES

 

These Terms are governed by Georgia law, without overriding any non-waivable consumer protection applicable to the customer. Before filing a lawsuit, the parties will make a good-faith attempt to resolve the dispute informally. A customer may begin that process by emailing here@humergy.com with the account information, a description of the issue, and the requested resolution.

 

If the dispute is not resolved informally, either party may bring a claim in a state or federal court having jurisdiction in Georgia. These Terms do not create a mandatory arbitration agreement or class-action waiver. Nothing in this section prevents either party from seeking emergency or injunctive relief or using a small-claims court when eligible.

 

14. GENERAL TERMS

 

If a provision is held unenforceable, the remaining provisions continue to the extent permitted by law. A delay in enforcing a provision is not a waiver. These Terms, the accepted pricing summary, the Privacy Policy, and any plan-specific terms presented at enrollment form the agreement governing the membership. Humergy may not transfer customer obligations in a manner prohibited by law.

 

15. ELECTRONIC ACCEPTANCE AND RECORDS

 

Before enrollment, you can open these Terms and affirmatively accept them. Humergy records the accepted Terms version, pricing version, date, and time. You may retain or print the accepted Terms and pricing summary.

 

These Terms are a business document approved by Humergy. They do not provide legal or tax advice to customers.
